Introduction
This agreement (the "Agreement") represents the contract between you and SpaniLingo with respect to the use of www.spanilingo.com (the "Site"). By visiting, becoming a customer of or subscribing to, you agree to be bound by the terms of service (the "Terms") set out below.
Acceptance of the Terms
By using the information, tools and features located on the Site you agree to be bound by this Agreement whether you are a "Visitor" (which means that you simply browse the Site or you are a "Customer" (which means that you have registered with SpaniLingo ). The term "you" refers to a Visitor or a Customer. The term "we" or "us" refers to SpaniLingo.
If you do not agree with all the Terms, do not use the Site.
Please review all of the Terms carefully before using the Site.
By using the Site, you agree to be bound by the Terms.
Changes to these Terms
We reserve the right to change any part of the Terms without notice and your use of the Site will be deemed as acceptance of the Terms. We have complete discretion to modify or remove any part of the Site without warning or liability arising from such action.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in force.
Intellectual Property Rights
All materials available on the Site or used in the classes provided by us, including content, text, images, software, presentations, audio and video files, documentation remain at all time the sole property of SpaniLingo . By using the Site you agree to respect the intellectual property rights of SpaniLingo and will refrain from copying, downloading, transmitting, reproducing, printing, or exploiting for commercial purpose any material contained within the Site without our prior express written consent.
Third parties
The Site may contain hyperlinks to, or embedded content from websites operated by other parties. We do not control such websites and we take no responsibility for, and will not incur any liability in respect of, their content. Our inclusion of links or embedded content to such websites does not imply any endorsement of opinions, views, statements or information contained in such websites.
Your Rights
We offer you a non-transferable, non-exclusive, limited right to access, use and display the content of the Site, provided that you comply with these Terms as set out in full. The materials of this Site are provided to you only for your private, non-commercial use. Certain services of this Site are available only to registered customers of SpaniLingo.
Access and Interference
You agree that you will not:
- Use any robot, spider, scraper or other similar automated data gathering tools, or methodology to access, acquire, copy or monitor the Site or any portion of SpaniLingo, without our consent.
- Post or transmit any file which contains viruses, worms, Trojan horses or any other contaminating or destructive features, or that otherwise interferes with the proper operation of SpaniLingo.
- Attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprising of or in any way making up a part of the Site.
Privacy Policy
In addition to these Terms, your use of the Site is governed by the Privacy Policy.
Registration
In order to provide some services to you, you must register on the site and provide personal details and contact information. Information gathered here will be subject to these Terms and to the Privacy Policy . You agree that you will not create an Account for anyone other than yourself without their express permission, that all information provided when creating an Account is true, accurate and complete, and that you will maintain, at all times, true, accurate and complete information related to your Account either by notifying us of changes by email or via account maintenance features of the Site.
Use of Services
Your right to access and use the Site and services offered by us is personal to you and is not transferable by you to any other person or entity. You are only entitled to access and use the Site and our services for lawful purposes.
You are responsible for maintaining the secrecy of your SpaniLingo account, username and password. You agree to notify us of any unauthorized use of your Account.
In our sole and absolute discretion, we may terminate your Account for any reason and we are under no obligation to retain a record of your Account or information that you may have stored by means of the Account.
Your access and use of the Site or our services may be interrupted from time to time for any of several reasons, including, without limitation, the malfunction of equipment or software, periodic updating, maintenance of the Site or other actions that we may elect to take. We are not responsible for any loss resulting from your using any services, software, materials, audio or video files, content, or communications.
Fees and payments
Certain materials and features of the Site are available only through the purchase of a single class or set of classes. Pursuant to these Terms you are responsible for any charges associated with connecting to the Site. We reserve the right to change the class fees at any time, upon reasonable notice posted on the Site and communicated to you via email.
Classes are delivered on a credit basis, giving you access to the stated amount of classes that you purchased.
By purchasing a class or set of classes you agree to be bound to the following terms:
Taxes and Third Party Fees
SpaniLingo fees are exclusive of any applicable VAT or taxes, interest or instalment fees charged by the payment provider, or other fees associated with connecting to the Internet.
Refund policy
All class fees are non-refundable after your purchase.
Class cancellation
If you wish to cancel or reschedule a class you must do this via the Student Portal least 24 hours in advance of the class. In this case you have the opportunity to reschedule the class at a mutually convenient time. If you provide less than 24 hours notice, the class will be deemed as "LOST" and you will not be able to reschedule that class. This is regardless of the reason for you cancelling the class including, but not limited to, you being sick.
If you cancel a class more than two times the class will be deemed as "LOST" and you will not be able reschedule it.
Additionally if you do not attend the class within the first 15 minutes of the scheduled time it will also be deemed as "LOST".
For online classes if you are experiencing technical problems and cannot connect at the time of the class please email your tutor or customer support immediately.
Although we strive not to cancel classes, sometimes we are forced to do so due to unforeseen circumstances thus we reserve the right to cancel a class at any time. In this case the class can be reschedule at a mutually convenient time.
Expiry of classes
Classes that have been purchased must be used within 6 months of the invoice date. Failure to do so will result in the forfeit of any unused classes. This does not apply to classes purchased through a subscription which expire at the end of the monthly billing period.
Initial £1 class
The initial £1 class is only available to first-time users.
Subscriptions
The following applies to classes purchased via a subscription:
Lessons are scheduled for the same fixed days and times every week.
The subscription will be automatically renewed every month, on or shortly after the same day of the month of when your subscription first started
If you cannot attend your lesson at this fixed day and time you can try to find another mutually convenient time during the week with your tutor, however, to do this you must cancel the existing lesson at least 24 hours before the scheduled lesson time via the Student Portal.
Any lessons not taken within the billing period because you could not attend the lesson on the scheduled day and time and were unable to find a alternative mutually convenient time with your tutor cannot be carried over to the following billing period and will not be refunded. This does not apply if the scheduled lesson is on a public holiday (England and Wales) and you and your tutor have previously agreed to not have the lesson, or if your tutor has to cancel the scheduled lesson.
You can cancel your subscription at any time by contacting us by email. In this case the renewal for the subsequent billing period will not take place, however no refund will be given for any lessons not taken in the current billing period.
Indemnification
You agree to indemnify us and our affiliates, partners, suppliers, and employees from any and all liability, claims, costs, or damages arising from your use of the Site or our services or your breach of these Terms set out herein.
Governing law and jurisdiction
These Terms are governed by the laws of England and any user of the Site and our services hereby agrees to be bound exclusively by the jurisdiction of English courts without reference to rules governing choice of laws.
